1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ATTENTION ENGINE INC. ("Company", "we", "us", or "our"), governing your access to and use of the Attention Engine platform ("Platform", "Service", or "Attention Engine").

By accessing or using Attention Engine, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Description of Service

Attention Engine is a platform focused on marketing Hollywood films and allowing creators and fans of upcoming films to get paid for their passion and the attention they bring to upcoming releases. The Platform connects creators with official Hollywood film and TV campaigns, enabling creators to create authentic content about films and TV shows and get rewarded for the verified attention their content brings.

The Platform facilitates connections between studios, streamers, production companies, distribution companies, and creators for marketing campaigns related to Hollywood films and TV shows.

3. User Responsibilities

You are responsible for:

• Ensuring that your content and activities comply with all applicable laws and regulations
• Complying with all terms of service and policies of third-party platforms where you publish content (YouTube, TikTok, Instagram, etc.)
• Providing accurate information and maintaining the security of your account
• Ensuring that your content does not infringe upon the intellectual property rights or other rights of any third party
• Complying with all advertising and marketing regulations, including disclosure requirements for sponsored content
• Ensuring that your content is authentic and reflects your genuine passion for films and TV shows

4. Content Ownership

You retain all ownership rights in your content. By using the Platform, you grant ATTENTION ENGINE INC. a limited, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating the Platform and facilitating campaigns.

You represent and warrant that you own or have all necessary rights, licenses, and permissions to use, publish, and distribute your content, and that your content does not infringe upon the rights of any third party.

5. Payments

Payments are processed after campaigns have finished. Creators are paid for views in their region. Some campaigns are focused on certain regions, and only views from those regions count towards payment.

Payment processing is handled through PayPal and other approved payment services. For payment information, contact social@moments.tv.

ATTENTION ENGINE INC. is not responsible for payment disputes between creators and studios/streamers. We may facilitate payment processing, but we do not guarantee payment, and we are not liable for payment failures, disputes, or delays.

6. Prohibited Uses

You agree not to use the Platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Platform. Prohibited uses include but are not limited to:

• Violating any applicable laws, regulations, or third-party rights
• Submitting false, misleading, or deceptive content
• Infringing upon intellectual property rights
• Engaging in fraud, scams, or deceptive practices
• Manipulating metrics, statistics, or performance data
• Creating fake accounts or impersonating others
• Spamming, harassing, or abusing other users
• Attempting to gain unauthorized access to the Platform or other users' accounts
• Failing to disclose material connections or sponsored content as required by law

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTENTION ENGINE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

8. Indemnification

You agree to indemnify, defend, and hold harmless ATTENTION ENGINE INC., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your content, your violation of these Terms, or your violation of any laws, regulations, or third-party rights.

9. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, for any reason, including but not limited to violation of these Terms or misuse of the Platform. Upon termination, your right to use the Platform will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, provisions of these Terms that by their nature should survive termination will survive.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration.
